BYLAWS OF FAITH HOPE AND CHARITY
Article I: Name, Purpose and Mission.
Section 1: Name: The name of this nonprofit Organization shall be "Faith Hope and Charity" (from now on referred to as the "Organization").
Purpose: The purpose of Faith Hope and Charity is to provide comprehensive assistance and support to Polynesians in need, addressing a wide range of challenges. Our focus areas include food assistance, energy aid, work preparation, preparation for homeownership, tutoring, college readiness programs, fostering spiritual well-being, preserving Polynesian cultures and traditions, credit repair and debt relief, facilitating access to educational grants, and supporting entrepreneurship.
Mission: At Faith Hope and Charity, our mission is to uplift the Polynesian community by providing a holistic approach to support and empower individuals and families. Our goals are to:Address Basic Needs: We strive to meet the immediate needs of Polynesians by offering food assistance, energy aid, and resources to ensure their well-being and stability.
Promote Self-Sufficiency: Through work preparation programs and assistance in credit repair and debt relief, we equip individuals with the tools and knowledge to improve their financial situations and achieve self-sufficiency.
Educational Empowerment: We support Polynesians in their academic pursuits by offering tutoring, college readiness programs, and assistance in accessing educational grants, enabling them to pursue higher education and expand their opportunities.
Preserve Culture and Tradition: We recognize the importance of preserving Polynesian cultures and traditions and strive to celebrate and pass on these rich heritage aspects to future generations.
Spiritual Well-being: We believe in helping individuals find peace in God, fostering spiritual growth, and providing support and guidance during challenging times.
Entrepreneurship Support: We assist aspiring Polynesian entrepreneurs in starting their businesses by providing resources, mentoring, and guidance to help them thrive and contribute to the economic growth of their communities.
Faith Hope and Charity seek to create lasting positive change, uplift the Polynesian community, and foster a sense of hope, resilience, and cultural pride through our unwavering commitment, community collaboration, and dedicated volunteers. We strive to empower individuals, strengthen families, and build a better future for all.
Article II: Membership
Section 1: Eligibility Membership in the Organization shall be open to individuals and organizations that support the purpose of the Organization and meet the criteria set forth by the Board of Directors.Section 2: Rights and Responsibilities Members shall have the right to participate in general meetings, vote on matters requiring membership approval, and receive communications and benefits as determined by the Board of Directors. Members shall also fulfill their responsibilities, including paying membership dues, upholding the Organization's values, and actively contributing to fulfilling its mission.
Article III: Board of Directors
Section 1: Composition, The Board of Directors, shall consist of three directors the membership shall elect. The Board shall include a President, Vice President, Secretary, Treasurer, and other positions as deemed necessary. Section 2: Duties and Powers The Board of Directors shall have the authority to govern and manage the affairs of the Organization. Their responsibilities shall include:Setting strategic direction.
Overseeing financial matters.
Establishing policies and procedures.
Ensuring compliance with legal requirements.
Section 3: Meetings The Board of Directors shall hold regular meetings, with the specific schedule to be determined by the Board. Special meetings may be called by the President or upon the request of a specified number of directors. Notice of meetings shall be provided in writing, including the agenda, at least seven days in advance.
Article IV: Officers
Section 1: Officers The officers of the Organization shall consist of the President, Vice President, Secretary, and Treasurer. The Board of Directors shall elect them and serve for a term of [number] years or until their successors are duly elected.Section 2: Duties The President shall preside over meetings, represent the Organization, and provide leadership. The Vice President shall assist the President and act as President in their absence. The Secretary shall maintain records and minutes of meetings, and the Treasurer shall oversee financial matters.
Article V: Committees
Section 1: Establishment, The Board of Directors, may establish committees to assist in fulfilling the Organization's objectives. The Board shall appoint committee members and may include both directors and non-directors.Section 2: Committee Authority, Each committee, shall have a designated purpose and responsibilities defined by the Board of Directors. Committee decisions and recommendations shall be subject to Board approval.
Article VI: Amendments
Section 1: Amendment Process These bylaws may be amended by a majority vote of the Board of Directors at a regular or special meeting. Proposed amendments must be presented in writing and provided to the directors in advance.Section 2: Notice to Membership Notice of proposed amendments shall be communicated to the membership three days before the meeting. Members shall have the right to review and provide input on proposed amendments.
Article VII: Dissolution
Section 1: Dissolution Process In the event of the dissolution of the Organization, its assets shall be distributed to another nonprofit organization with similar purposes, as determined by the Board of Directors.ÂSection 2: Distribution Restrictions No part of the Organization's assets shall be distributed to its members, directors, or officers except as reasonable compensation for services rendered or for reimbursement of legitimate expenses incurred on behalf of the Organization. This restriction ensures that the assets and resources of Faith Hope and Charity are solely utilized to fulfill its mission and benefit the community it serves.
